These terms govern access to and use of the Corporate Intent website, platform, APIs and related services.
Who These Terms Apply To
These terms apply to all visitors, users and customers who access or use the service. By accessing or using the service, you agree to these terms. If you do not agree, do not use the service.
Service Description
Corporate Intent provides business intelligence, search, analytics, data, AI-assisted features, APIs and related product functionality. We may change, improve, suspend or discontinue any part of the service from time to time.
Accounts
If you create an account, you are responsible for keeping login credentials secure and for all activity carried out using your account. You must provide accurate information and keep it reasonably up to date. We may suspend or disable accounts that violate these terms, create security risk, or are used fraudulently or unlawfully.
Acceptable Use
You must use the service lawfully and only for legitimate business or professional purposes. You must not:
- interfere with the operation, integrity or security of the service;
- attempt to gain unauthorised access to systems, accounts, data or networks;
- reverse engineer, scrape, extract or reproduce the service or its data except where expressly permitted by law or contract;
- upload or transmit malicious code, spam, or unlawful, defamatory, infringing or harmful material;
- use the service in a way that breaches applicable law, sanctions, export controls or third-party rights; or
- use AI outputs or other service outputs as a substitute for independent legal, regulatory, investment or professional advice.
Customer Data And Inputs
You remain responsible for data, prompts, queries, files or other material you submit to the service. You confirm that you have the necessary rights and permissions to provide that material and to instruct us to process it on your behalf where applicable.
Intellectual Property
We or our licensors own all intellectual property rights in the service, including software, datasets, content, branding, documentation and design, except for materials owned by customers or third parties. These terms do not transfer ownership of any intellectual property rights.
Subject to these terms and any applicable subscription terms, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the service for your internal business purposes.
AI And Data Outputs
The service may include AI-assisted summaries, rankings, classifications or other generated outputs. Those outputs may be incomplete or inaccurate and should be independently reviewed before being relied on for strategic, legal, financial, compliance or other important decisions.
Fees And Subscriptions
Where the service is provided on a paid basis, fees, billing terms, renewal terms and plan limits will be set out in the applicable order form, pricing page or separate commercial terms. Unless stated otherwise, fees are non-refundable except where required by law.
Availability And Support
We aim to make the service available on a reliable basis, but we do not guarantee uninterrupted or error-free operation. Maintenance, updates, outages, third-party failures and security events may affect availability.
Suspension And Termination
We may suspend or terminate access immediately if we reasonably believe there has been a breach of these terms, a security threat, non-payment, unlawful use, or risk to us, the service or other users. You may stop using the service at any time. Provisions that by nature should survive termination will continue to apply.
Disclaimers
To the fullest extent permitted by law, the service is provided on an “as is” and “as available” basis. We do not guarantee that the service will be uninterrupted, secure, error-free, fully accurate or suitable for any particular purpose.
Limitation Of Liability
Nothing in these terms excludes or limits liability that cannot be excluded or limited under English law, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation.
Subject to that, to the fullest extent permitted by law, we will not be liable for any indirect, incidental, special, consequential or punitive loss, or for any loss of profit, revenue, business, goodwill, anticipated savings, business opportunity, data or use arising out of or in connection with the service.
If you are using the service in the course of business, our aggregate liability in connection with the service will be limited to the amount paid by you for the service in the 12 months before the event giving rise to the claim, or if no fees were paid, a reasonable nominal sum to be specified by your final commercial terms.
Third-Party Services
The service may integrate with or link to third-party software, websites, data sources or AI tools. We are not responsible for third-party services and do not guarantee their availability, performance or terms.
Changes To These Terms
We may update these terms from time to time. The updated version will be posted on this page with a revised last updated date. Continued use of the service after changes take effect will constitute acceptance of the revised terms.
Governing Law
These terms and any dispute or claim arising out of or in connection with them are governed by the laws of England and Wales. The courts of England and Wales will have exclusive jurisdiction unless applicable law requires otherwise.
